Registered Series

On August 1, 2019, changes to Delaware LLC law went into effect that permitted the filing of a registered series, an alternative to the private protected series. A registered series is formed by (1) filing a Certificate of Formation for a Series LLC with the State of Delaware and (2) the company and its members entering into an Operating Agreement. A registered series then can be formed through separate state filings whenever the company wishes to establish new registered series associated with the company. The registered series is designed for those who wish to file Article 9 UCC Financing Statements to put liens on collateral within just one registered series. Each registered series and the company are state records and have annual fees associated with the company and each registered series to maintain Good Standing status.
